The agreement between you and Fortel for use of the device, app, and platform

These Terms of Service (“Terms”) govern your access to and use of the Fortel connected-vehicle device, mobile and web applications, and related services (together, the “Service”), provided by 234Drive Limited (“Fortel”, “we”, “us”), a company incorporated in Nigeria. By purchasing a Fortel device, creating a Fortel account, or otherwise using the Service, you agree to be bound by these Terms.
Your access to and use of our Services is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, agents, and any other person who accesses or uses our Services.
Our website is not directed at you if we are prohibited by any law of any jurisdiction from making the information on our website available to you and is not intended for any use that would be contrary to your local law or regulation.
You agree that by accessing the services, you have read, understood, and agreed to be bound by these Terms. IF YOU DO NOT AGREE WITH THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.
- The Fortel Service
- Fortel provides a physical OBD-II diagnostic device (the “Device”) that connects to your vehicle’s onboard computer, together with a mobile and web application that displays diagnostic, location, and driving-behaviour data collected by the Device (together with the Device, the “Service”). Depending on your plan, the Service may include:
- Real-time and historical vehicle fault (DTC) reporting and plain-language diagnostic explanations;
- Trip, location, and driving-behaviour tracking;
- Maintenance alerts and reminders;
- For Business Users: fleet dashboards, multi-vehicle reporting, and related fleet-management tools;
- Where you separately opt in: connections to insurance, lending, or financing products offered by our partners.
- Fortel provides a physical OBD-II diagnostic device (the “Device”) that connects to your vehicle’s onboard computer, together with a mobile and web application that displays diagnostic, location, and driving-behaviour data collected by the Device (together with the Device, the “Service”). Depending on your plan, the Service may include:
Fortel is a diagnostic and telemetry information service. It is not a substitute for inspection or repair by a qualified, licensed mechanic, and it does not control, drive, or intervene in the operation of your vehicle. See Section 7 (Disclaimers) for the full scope of this limitation.
- Eligibility and Accounts
- You must be at least 18 years old and legally capable of entering into a binding contract under Nigerian law to create a Fortel account.
- For Business Users, you must be duly organised, authorised and in good standing under the laws of the Federal Republic of Nigeria or any state, region or country of your organisation and you must be duly authorised to do business in all other states, regions or countries in which your business operates.
- To create an account, you would need to provide us with your first name, last name, business and corporate information (name, address, contact details, incorporation documents) email address, phone number, bank account information, and any other information we require from you to create your account. We may seek to verify your information, (by ourselves or through third parties) to ensure that you have provided accurate information.
- You must provide accurate, current and complete information during the registration process and always keep your account information up to date.
- You must be the owner of the vehicle on which the Device is installed, or have the owner’s express authorisation to install and use it.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
- You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorised use of your account.
- Business Users (fleet operators) are responsible for the accounts of drivers they add to their fleet, including ensuring those drivers are notified of vehicle monitoring as required by Section 5 of our Privacy Policy.
- You must provide accurate, current information when creating an account and keep it up to date.
- You may not use as a username, the name of another person or entity or a name that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you without appropriate authorisation, or a name that is otherwise offensive, vulgar or obscene.
- You are liable for all activities conducted through your account, unless such activities are not authorised by you, and you are not otherwise negligent (such as failing to report the unauthorised use or loss of your credentials).
- You must notify us immediately upon learning that someone else may be using your account without your permission (or if you suspect any other breach of security) by submitting your complaint to [mycar@fortelhq.com]
- In the event that you change any information provided to us in creating your account, you are required to notify us within 14 (fourteen) days of such change.
- The Device: Purchase, Ownership, and Installation
- Device pricing, bundle inclusions, and applicable subscription plans are as displayed at checkout at the time of your order and may be updated by Fortel from time to time for future purchases.
- Upon full payment, ownership of the Device transfers to you, subject to the software licence in Section 4 and any financing arrangement you have separately entered into for the device bundle.
- Installation may be performed by Fortel-authorised personnel or, where permitted, by you or your own mechanic following our installation guidance. Improper installation may affect Device performance and is not covered by our warranty.
- The Device is intended for OBD-II compliant petrol and diesel vehicles as specified in our compatibility documentation. Fortel is not responsible for issues arising from installation on incompatible or modified vehicles.
- Tampering with, reverse-engineering, or attempting to reconfigure the Device to write data to your vehicle’s ECU, bypass safety limits, or interfere with its normal diagnostic function is strictly prohibited and will void your warranty and may result in account termination.
- Subscriptions, Fees, and Payment
- Access to certain features of the Service is available only with an active subscription. Subscription fees will be billed in accordance with the billing cycle selected by you at the time of sign-up, as presented at checkout.
- Subscriptions renew automatically at the end of each applicable billing period unless you cancel your subscription before the applicable renewal date using the cancellation process made available through the Service or the App.
- All fees are payable in Nigerian Naira (₦), unless otherwise expressly stated by us in writing or at checkout. All fees are exclusive of any applicable taxes, duties, levies, or similar governmental charges, which will be charged to you in addition where required by applicable law.
- If any payment is unsuccessful, declined, reversed, or otherwise not received when due, or if your subscription expires or lapses for any reason, we may suspend, restrict, or disable access to some or all subscription-based features of the Service, including live diagnostics and fleet dashboard functionality, until the outstanding payment issue is resolved. Any historical data previously collected through the Service will remain subject to the data retention and deletion practices described in our Privacy Policy.
- Except as required by the Federal Competition and Consumer Protection Act 2018, any other applicable law, or any express warranty provided with the relevant Device, fees paid for the purchase of a Device are non-refundable once the Device has been installed and activated.
- Business and Fleet Accounts
- Business Users may enter into a separate commercial agreement with Fortel covering matters such as fleet pricing, service levels, data processing terms, and support commitments. If such an agreement is in place, it shall supplement these Terms and, to the extent of any inconsistency, shall prevail over these Terms solely with respect to the matters it expressly addresses.
- Business Users are responsible for ensuring they have a lawful basis to install Devices in fleet vehicles and to monitor the drivers of those vehicles, including obtaining any consents or providing any notices required under the Nigeria Data Protection Act (NDPA) 2023, or any other applicable laws in Nigeria.
- Data generated by a fleet vehicle is made available to the relevant Business Account administrator for legitimate fleet-management purposes, as described in our Privacy Policy.
- Acceptable Use
- You agree not to:
- Use the Service for any unlawful purpose, or in a manner that infringes the rights of others;
- Install the Device in a vehicle you do not own or lack authorization to monitor;
- Attempt to gain unauthorized access to another user’s account, vehicle data, or the Service’s underlying systems;
- Reverse-engineer, decompile, or attempt to extract the source code of the Fortel app or Device firmware, except to the limited extent permitted by applicable law;
- Resell, sublicense, or commercially exploit access to the Service without our prior written consent;
- Use the Service to stalk, harass, or unlawfully surveil another person.
- We may suspend or terminate your access to the Service if we reasonably believe you have violated this Section.

- Disclaimers
Please read this section carefully. It sets out important limits on what Fortel promises and is responsible for.
- The Service provides diagnostic information and alerts based on data reported by your vehicle’s Electronic Control Unit (“ECU”) and our proprietary diagnostic models. This information is provided for informational purposes and does not constitute professional automotive, mechanical, safety, insurance, or financial advice.
- Fortel does not guarantee that the Service will detect every fault, or that it will detect a fault before it causes a breakdown or accident, or that a vehicle showing no active fault codes is free of mechanical issues. You remain responsible for the routine maintenance and safe operation of your vehicle.
- The Service depends on network connectivity, GPS signal, and the continued proper functioning of your vehicle’s OBD-II port; interruptions, delays, or gaps in data may occur and are not guaranteed to be fault-free.
- Except as expressly stated in this Section or required by applicable Nigerian law (including the Federal Competition and Consumer Protection Act 2018), the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied. Without limiting the generality of the foregoing, we make no warranty that our Device, website and services will meet your requirements or that our website will be uninterrupted, timely, secure, or error free. No advice or information, whether oral or written, obtained by you through our website or from us, our subsidiaries, or other affiliated companies, or their suppliers (or the respective officers, directors, employees, or agents of any such entities) shall create any warranty.
- Limitation of Liability
- To the maximum extent permitted by Nigerian law, Fortel’s total liability to you arising out of or in connection with the Service, whether in contract, tort, or otherwise, shall not exceed the greater of (a) the total fees you paid to Fortel in the twelve (12) months preceding the event giving rise to the claim, or (b) ₦50,000. Fortel shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits, loss of data, or vehicle damage not directly caused by Fortel’s proven negligence. Nothing in these Terms limits any liability that cannot lawfully be limited or excluded under Nigerian law, including liability for death or personal injury caused by proven negligence, fraud, or wilful misconduct.
- Indemnity
- You agree to indemnify and hold harmless Fortel, its affiliates and subsidiaries, its officers, directors, employees and agents, against all liabilities, costs, expenses, damages and losses (including any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest penalties and legal and other reasonable professional costs and expenses) suffered or incurred as a result of:
- your fraudulent or illegal use of the Services or the Platform;
- your negligence or any default by you of any of these Terms;
- any inaccurate or incomplete information that you have knowingly provided to us;
- you allowing any other person to access your Account either with your permission or as a result of your failure to keep your username and password private;
- any claim made against you for actual or alleged infringement of Raenest’s Intellectual Property or any actual or alleged infringement of a third party’s Intellectual Property arising out of or in connection with our Services or your use of the Platform.
- Intellectual Property
- The Fortel name, logo, app, Device firmware, diagnostic models, and all related intellectual property are owned by 234Drive Limited or our licensors. These Terms grant you a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose. You retain ownership of the raw data generated by your own vehicle, subject to the licence you grant us under our Privacy Policy to process it in order to provide and improve the Service.
- You shall not use, copy, adapt, modify, prepare derivative works of, distribute, license, sell, transfer, publicly display, publicly perform, transmit, broadcast or otherwise exploit our intellectual property, except as expressly permitted in these Terms. No licenses or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by us or our licensors, except for the licenses and rights expressly granted in these Terms.
- Users shall not directly or indirectly: (i) decipher, decompile, disassemble, reverse engineer, or otherwise attempt to derive any source code or underlying ideas or algorithms of any part of the Service, except to the extent applicable laws specifically prohibit such restriction; (ii) modify, translate, or otherwise create derivative works of any part of the Service; or (iii) copy, rent, lease, distribute, or otherwise transfer any of the rights that you receive hereunder.
- Termination
- You may close your account at any time via the process described in our Account Deletion Policy.
- 1We may suspend or terminate your access to the Service, with notice where reasonably practicable, if you breach these Terms, engage in fraudulent or abusive conduct, or if required to do so by law.
- On termination, your right to use the Service ends immediately; certain provisions of these Terms, including Sections 7 (Disclaimers), 8 (Limitation of Liability), 10 (Intellectual Property), and 14 (Governing Law) will survive termination.
- Changes to These Terms
- We may update these Terms from time to time. Where changes are material, we will provide notice through the app, by email, or by another reasonable means before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
- Force Majeure
- Fortel shall not be liable for failure to perform, or for delay in performing its obligations hereunder if such failure or delay shall be due to natural disasters, war, riot, civil commotion, weather, pandemics, epidemics, labour disputes, failure of sub-contractors or any other cause beyond its reasonable control and whether or not of a similar nature to the foregoing.
- Governing Law and Dispute Resolution
- These Terms are governed by the laws of the Federal Republic of Nigeria.
- Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have between us regarding the Service.
- The parties will first attempt to resolve any dispute informally by contacting Fortel support. Any disputes arising under or in connection with the validity, interpretation and performance of this Terms that cannot be resolved amicably by the parties through negotiation within 30 (thirty) days shall be resolved by Arbitration at the Lagos Court of Arbitration (LCA) before a single arbitrator in accordance with the Arbitration and Mediation Act, 2023.
- The Parties shall endeavour in good faith to mutually agree on the selection of an arbitrator. If the Parties cannot mutually agree on the selection of an arbitrator within 10 (ten) days of the request, they shall apply to the LCA to appoint an arbitrator. Arbitration proceedings shall be conducted in Lagos. The arbitrator will be requested to render an award within 90 (ninety) days and to provide, in writing the reasoning for the award. The decision of any such arbitrator shall be final and binding on the parties.
- Each party shall bear its cost in connection with the Arbitration and the arbitrator’s fees shall be split equally between both parties.

By submitting your feedback to us, you grant us a non-exclusive, worldwide, royalty-free, irrevocable, sub-licensable, perpetual license to use and publish those ideas and materials for any purpose, without compensation.
